1. Acceptance of Terms

By accessing or using PRCharter ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

PRCharter is a SaaS platform that enables PR professionals to create, customize, and share media coverage reports. The Service includes report generation, template customization, PDF export, analytics, and related features.

3. Account Terms

  • You must be at least 16 years old to use the Service.
  • You must provide accurate and complete registration information.
  • You are responsible for maintaining the security of your account and password.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Upload or distribute malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, crawl, or use automated means to access the Service without permission
  • Resell, sublicense, or redistribute the Service without authorization

5. Payment and Billing

  • Paid plans are billed in advance on a monthly or annual basis.
  • All fees are non-refundable except where required by law or as specified in our refund policy.
  • We may change pricing with 30 days' notice. Existing subscriptions will be honored until the end of the current billing period.
  • Failure to pay may result in suspension or termination of your account.

6. Intellectual Property

The Service, including its design, code, features, and content, is owned by PRCharter and protected by intellectual property laws. You retain ownership of the content you create using the Service (reports, configurations, etc.).

7. Content and Data

  • You retain all rights to the content you upload or create through the Service.
  • You grant PRCharter a limited license to process, store, and display your content as necessary to provide the Service.
  • You are responsible for ensuring you have the right to use any content you upload (e.g., article URLs, images, logos).

8. Limitation of Liability

To the maximum extent permitted by law, PRCharter shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

  • You may cancel your account at any time through the account settings.
  • We may suspend or terminate your account if you violate these terms.
  • Upon termination, your right to use the Service ceases immediately.
  • We will make your data available for export for 30 days after account cancellation.

11. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes via email or through the Service. Continued use after changes take effect constitutes acceptance of the new terms.

12. Governing Law

These terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
